一旦您勾选“我同意遵守会员服务条款”，并单击“登记”按钮，即表示您已阅读、了解并同意接受 WorldSCM 所制定的所有条款和限制。

1. 您要对您在会员档案中提供的所有信息以及与其他 WorldSCM 会员通信的内容负责。WorldSCM 不会也无法完全监控所有会员们在本网站里的活动。 因此您必须同意，并要对您的个人行为承担所有法律责任。如果 WorldSCM 的会员有任何违法行为或活动，WorldSCM 不负担任何法律责任。

2. 您不可以在我们的网站公布或张贴任何诽谤、侮蔑、粗俗的内容，包括脏话和色情文字（包括照片）。

3. 您不可以蓄意骚扰其他会员，尤其是那些已明确表示不希望继续再跟您联系的会员。您必须保证您对其他会员的行为是正当的并且合法。如果您或其他会员有任何违反法律规定和用户协议的行为，即表示您违反了 WorldSCM 的服务条款和限制，我们有权取消您的会员资格。

4. 您的会员档案里，不可以包含您的真实姓名、电话号码、电子邮件、ICQ 、MSN号码、地址或其他联系信息。

5. WorldSCM 的权利：
(i) 对于违反我们服务条款和制度的会员，WorldSCM 有权暂停或取消其会员资格。也就是说，一旦我们怀疑或发现某些会员利用我们的服务进行欺骗或其它犯罪行为，我们将暂停或取消其会员资格。一旦被暂停或取消会员资格，WorldSCM 将无需为您所损失的会员权益承担任何责任。

(ii) 一旦您的档案被检查出有任何粗俗不堪的内容，WorldSCM 有权暂停发布您的档案，直到您修改和删除其中粗俗不堪的部分。WorldSCM 有权并且可以不受任何限制的删除的发布的全部或部分档案内容：

(a) 政府部门和代理机构要求或命令 WorldSCM 这样做，或

(b) 无论任何时候、任何原因，只要 WorldSCM 认定会员违反了我们的服务条款和制度，WorldSCM 就有权删除此会员档案里的所有或部分内容，而 WorldSCM 也无需为您所损失的会员权益承担任何责任。

(iii) WorldSCM 不对网站中任何由会员公布、发送的信息或内容负责；

(iv) WorldSCM 有权随时更新网站的服务条款和限制。所有会员都要遵守更新后的所有服务条款和用户协议约束限制；

(v) 即使在服务条款和限制里已明确规定出了非法行为，WorldSCM 也不能保证所有的会员都会完全遵守此服务条款和限制。

(vi) 在何情况下，如果有会员因 WorldSCM 所提供的服务，而造成任何直接伤害或间接损失，WorldSCM 不为此承担任何法律责任。无论用户或会员的行为是否合法，WorldSCM 不会为其疏忽和行为承担法律责任。 尽管如此，我们并不是在本协议中故意限制和推卸 WorldSCM 应该负担的责任。 但是，如果您碰到任何与权利、行为、诉讼、诉讼程序或索赔有关的事宜，在 13 个月内如果不正式通知 WorldSCM，那么无论您的行为是否合法，都将被视为自动放弃您的权利和起诉资格。

8. 您有责任为您所提供的个人档案信息承担责任。WorldSCM 只为会员提供一个信息渠道，一旦 WorldSCM 认定您所提供的信息会造成我们的责任或损失，WorldSCM 便会采取相应的措施来保障我们自身的权益。例如：如果 WorldSCM 认定您的信息可能会带来不良影响，导致 WorldSCM 失去（部分或全部） ISP 或其它供应商的存取资格，此时 WorldSCM 则会修改或删除您的信息。

10. 您必须确保您的信息

(i) 不包含诽谤、污蔑、胁迫、骚扰或恐吓的内容或

(ii) 不包含猥亵文字以及未成年的色情图片。

11. (i) 本用户协议书严格依据澳大利亚新南维尔士州的法律制定。所有用户都要完全遵守中国和当地政府部门的法律制度。

(ii) 本用户协议书中的服务条款和限制可随时修改。如果某项条款无效或无法实施某项条款，即会删除此项条款，但会保留其它可实施的服务条款。

(iii) 如果您违反了用户协议而 WorldSCM 没有采取任何法律行动，并不意味着 WorldSCM 将放弃对下一次或类似的事故采取相应法律行动的权利。

(iv) 本协议由 WorldSCM 制定，因此任何人不可将此内容作为对 WorldSCM 不利的工具。

(v) 本用户协议书是 WorldSCM 和用户（您）双方同意后所达成的协议。

Member Terms and Conditions

Our services are available only to, and may only be used by, individuals who can form legally binding contracts under their applicable law. WorldSCM Technology Pty Ltd and associated Alliances and Affiliates, herein WorldSCM reserves the right to terminate your membership for any reason.

By entering a tick alongside the "Tick here to accept and agree to the Terms and Conditions below", and pressing the 'Submit Registration' button, you register as a Member and accept the terms and conditions described below applicable to your use of our service provided by WorldSCM.

1. As an adult you are solely responsible for any information contained in your Profile and all of your communications with other Soulmate Members (the "Members"). If you choose to publish a Profile, then it will be published on other sites throughout the WorldSCM Technology, Match.com network. WorldSCM does not, nor can it practically, monitor or control the use made of its Site by Members. Accordingly you agree to accept sole responsibility for the legality of your actions under all applicable laws. Each other Member is also bound by this User Agreement and agrees to accept sole responsibility for the legality of his or her actions under their applicable laws. WorldSCM accepts no responsibility for the legality of the actions of any of its Members.

2. You will not use our Site to post or transmit offensive materials including offensive language or sexually explicit materials (including photographs);

3. You will not harass others by continuing to attempt or communicate with someone who has clearly asked you to cease communication. You are responsible for ensuring that your behaviour with other Members is lawful and complies with all applicable laws. To the extent that you do not (or another Member does not) comply with all applicable laws or any clause of this User Agreement, you release and discharge WorldSCM from all rights, claims, actions, suits, proceedings and claims which, but for this clause, you may have had against WorldSCM;

4. You will not include identifying information such as your real name, phone number, email address, ICQ number, address or any contact information in your Profile.

5. With respect to WorldSCM:
(i) It reserves the right to suspend or terminate any Member who violates these terms and conditions, including, without limitation, where if a Member is suspected of having, or are found (by conviction or otherwise) to have, engaged in any fraudulent or other criminal activity in connection with our service, or at any other time, with or without cause in WorldSCM?absolute discretion. WorldSCM will have no liability to you if it suspends or terminates your account for any reason. You waive all rights you may have had against WorldSCM in respect of such conduct.

(ii) In the case of Profiles, WorldSCM may hide the Profile if it is judged offensive until the offensive portion is amended. Without limiting any other remedies, WorldSCM may remove all or part of a Profile posted to its Site:

(a) if WorldSCM receives a direction, demand or request to do so from any government department or agency; or

(b) at any other time, with or without cause, in WorldSCM?absolute discretion -

and WorldSCM will have no liability to you if it removes all or part of a Profile for any reason, and you waive all rights you may have had against WorldSCM in respect of such conduct.

(iii) It is not responsible for any information or material posted or transmitted via the service;

(iv) It has the right to amend the terms and conditions at any time by posting the amended terms on its Site. You (and all other Members) will be bound by the amended terms from that time and this User Agreement may not be otherwise amended;

(v) It is not responsible for ensuring that Members follow the terms and conditions notwithstanding these terms and conditions outline behaviour that is unacceptable on the service; and

(vi) Under no circumstances is it liable to a Member for any incidental consequential or indirect damages arising out of the use of the WorldSCM service. In addition, it disclaims all liability to the full extent permitted by law, regardless of the form of action, for the acts or omissions of other Members or users. Nevertheless, nothing in this User Agreement is intended to limit or exclude any liability on the part of WorldSCM where and to the extent that applicable law prohibits such exclusion or limitation. If you do not notify WorldSCM within 12 months of the relevant conduct in respect of which the rights, actions, suits, proceedings or claims have arisen, then, to the extent permitted by law, you agree that you release and discharge WorldSCM from all rights, actions, suits, proceedings and claims which, but for this clause, you may have had against WorldSCM.

6. User authentication on the Internet is difficult. Accordingly, WorldSCM cannot and does not confirm that each Member or user is who he or she claims to be. Therefore, you must be careful in dealing with other Members or users.

7. Because WorldSCM does not and cannot be involved in Member to Member communications and activities, in the event that you have a conflict with a Member, to the extent permitted by law, you hereby release WorldSCM (and our agents and employees) from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any such conflict.

8. You are solely responsible for the information provided by you for the Profile ("Your Information"), and WorldSCM act as a passive conduit for your online distribution and publication of Your Information. However, WorldSCM may take any action with respect to Your Information that it deems necessary or appropriate in its sole discretion, for example, if WorldSCM believes Your Information may create any liability for us, or if it may cause us to lose (in whole or in part) access to the services of our ISPs or other suppliers, WorldSCM may alter or remove all or part of Your Information.

9. You must ensure that Your Information
(i) is not defamatory, libelous, unlawfully threatening or unlawfully harassing; or

(ii) is not obscene and does not contain child pornography.

10. (i) This User Agreement will be governed by and construed in accordance with the laws of the State of New South Wales, Australia. All users of the Site irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia;

(ii) The provisions of this Agreement are severable and, if any provision of this User Agreement is held to be invalid or unenforceable, that provision may be removed and the remaining provisions will be enforced;

(iii) The failure by WorldSCM to act with respect to a breach by you of this User Agreement does not waive our right to act with respect to subsequent or similar breaches;

(iv) This User Agreement may not be construed adversely to us solely because WorldSCM prepared it; and

(v) This User Agreement sets out the entire understanding and agreement between WorldSCM and you with respect to its subject matter.
